These Terms of Service ("Terms") govern your access to and use of the platform operated by One57 LLC ("Platform", "we", "us"). The Platform provides a technology service that enables users to connect with each other to request and offer non-medical assistance services. By using the Platform, you agree to these Terms.

The Platform does not provide the assistance services listed on the Platform. Instead, the Platform enables users to find, connect with, and engage independent users who offer such services. The Platform acts solely as a neutral intermediary that facilitates communication and payments between users. The Platform: • does not employ, engage, or control any assistants • does not supervise or direct how services are performed • is not a party to any agreement between users Any agreement is formed directly between users.

Users may request or offer non-medical assistance, including but not limited to: • household help • errands • companionship • administrative support Assistants act as independent individuals and provide services on their own behalf. The Platform does not supervise, direct, or control how services are performed. However, the Platform may verify whether a service has been completed for the purpose of facilitating payments and resolving disputes. Such verification does not constitute control over the manner or means by which services are performed.

Nothing in these Terms creates: • employment • agency • partnership • joint venture between the Platform and any user. Assistants are not employees, contractors, or representatives of the Platform.

The Platform may facilitate payments between users as a limited payment collection agent on behalf of assistants. By making a payment, users authorize the Platform to collect, hold, and transfer funds on behalf of the assistant. 5.1 Payment Flow • Users may agree on a price for a service • The Platform may collect payment on behalf of the assistant • Payments may be held temporarily ("escrow-like") • Funds are released after confirmation that the service has been completed 5.2 Platform Fee The Platform may charge a service fee, which will be disclosed before payment. 5.3 No Guarantee The Platform does not guarantee: • that a service will be performed • the quality or outcome of any service The Platform facilitates payments through a third-party provider and may hold funds until the client confirms completion of the service. However, the Platform does not guarantee uninterrupted or error-free payment processing, or that funds will be available in all circumstances. 5.4 Payment processing Payments are processed securely via Stripe. The Platform does not store or process full card details directly. Sensitive payment data is handled by Stripe in accordance with PCI-DSS standards.

Users are solely responsible for: • their conduct and interactions • the accuracy of information provided • compliance with applicable laws • any taxes or reporting obligations The Platform does not provide legal or tax advice.

All users act independently and at their own risk. The Platform does not: • verify qualifications • guarantee identity • ensure suitability of any user Users must exercise their own judgment before engaging with others.

Assistants are free to: • accept or reject requests • determine their availability Clients are free to: • choose assistants • decide whether to proceed No user is obligated to enter into or complete any transaction.

Any disputes are between users. The Platform may, at its sole discretion: • assist in resolving disputes • delay or withhold payments but has no obligation to intervene.

To the maximum extent permitted by law, the Platform is not liable for: • user actions or omissions • service quality or results • personal injury or damages • loss of data or financial loss All use of the Platform is at your own risk.

Users may not: • use the Platform for illegal purposes • misrepresent identity or information • engage in fraud or abuse • attempt to create employment relationships through the Platform

The Platform may suspend or terminate access: • for violations of these Terms • for legal or risk reasons • at its discretion

These Terms are governed by the laws of the State of Delaware, USA.
